Terms of use

These terms are between [legal entity name] ("we") and the business that registers an account ("you"). The exchange is for businesses only, not consumers.

What we provide

An online marketplace where vetted businesses post loads and vehicles, bid, message and record jobs. We are not a party to any haulage contract made through the exchange, we are not a carrier or freight forwarder, and we don't handle payments between members. Each job is a contract between the poster and the haulier on terms they agree, [defaulting to RHA Conditions of Carriage where they haven't agreed otherwise].

Your responsibilities

Keep your vetting documents accurate and in date, including operator licence and insurance. Only post real loads and vehicles. Pay invoices on the agreed terms. Don't use the exchange to contact members for purposes unrelated to jobs, or to scrape data. You're responsible for everyone using your account.

Ratings and payment records

Members rate each other after delivery, and invoice and payment events recorded on the exchange form a public payment record. Ratings must be honest and based on the job. We may remove ratings that are abusive or clearly false and may investigate disputed records.

Subscriptions

Plans renew monthly until cancelled. You can cancel any time in Billing; access continues to the end of the paid period. Prices exclude VAT. We'll give [30 days'] notice of price changes.

Suspension

We may suspend or close accounts that break these terms, fail vetting, or put other members at risk, and will tell you why unless the law prevents it.

Liability

We don't guarantee any member's performance, solvency or the accuracy of what they post. Nothing limits liability that can't be limited by law. Otherwise our total liability in any 12 months is limited to the subscription fees you paid in that period, and we aren't liable for loss of profit, business or goods in transit.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
